TERMS AND DEFINITIONS

Seller — the web service located at https://Rubot.Cloud.

Buyer — an individual who independently uses the software solutions developed by https://Rubot.Cloud.

Product — software or a digital product developed by https://Rubot.Cloud.

1. SUBJECT MATTER

1.1. Under this Agreement, the Seller transfers the Product to the Buyer, and the Buyer accepts it and pays for it in accordance with the issued invoice.

1.2. The Agreement is concluded by the parties on the basis of their voluntary expression of will.

2. DELIVERY TERMS, PROCEDURE AND CONDITIONS

2.1. Delivery of Products is carried out by the Seller based on the Buyer's request. Payment of the invoice constitutes acceptance of the order and the Product.

2.2. Transfer of software is carried out instantly from the moment of invoice payment; transfer of subscriptions and time-limited licenses occurs within 1–12 hours from the moment of payment.

2.3. Delivery of the Product is carried out by the Buyer or the Seller depending on the place of transfer of the Product.

2.4. Title to the purchased Product passes from the Seller to the Buyer at the moment of transfer of the Product to the Buyer.

2.5. The Seller is obliged to: transfer a Product that matches the description; deliver the Product free and clear of any third-party claims.

2.6. The Buyer is obliged to: comply with the terms of the Agreement and not violate the rules of use of software and subscriptions.

2.7. The Product, by mutual agreement of the parties, is not subject to exchange, return, or markdown.

3. PRICE AND PAYMENT PROCEDURE

3.1. Prices for Products supplied by the Seller are fixed and denominated in US Dollars.

3.2. Payment for the Product is made by transferring funds to the Seller's account. The date of payment is the date the funds are credited to the Seller's account.

4. FORCE MAJEURE

4.1. In the event of non-performance or partial non-performance by either party of its obligations under this Agreement due to circumstances of force majeure that directly affect the deadlines for performance, the deadline for performance shall be extended in proportion to the duration of such circumstances.

5. DISPUTE RESOLUTION

5.1. All disputes arising from this Agreement shall be resolved by the parties through negotiations.
